    A move, board role or share payment can change a director’s tax position within one year. Check whether payroll and written tax certainty still match the facts.

    Dutch tax residence for cross-border directors depends on current facts. Those facts can change during one calendar year. A move, new board role, changed work pattern or share payment can create separate tax periods. An old tax position may no longer match the contracts, payroll, home and work records on file.

    Why this matters

    This can create a payroll and cash issue for the business. Finance may hold payment records, HR the contract, and the board secretary the minutes. Travel claims may show where the work took place. The records need to match for each period. Otherwise, payroll may process a bonus or share payment on an outdated tax position. A later correction can bring extra tax, interest, adviser costs and a wage-tax dispute.

    Example

    Case 24/03206 concerns an international director who lived in Monaco through 2015 and moved to the Netherlands in 2016. The disputed residence period covered early 2016. He received nearly €2.3 million in employment income that year, including salary, a cash bonus and restricted stock units. Most was processed before 18 April. The file included housing, international duties, a headquarters move and a personal relocation. The Advocate General’s conclusion is listed below.

    • Build one dated timeline. List homes, family location, work countries, board roles, contracts and payroll entities. Add bonuses, shares, options and other major payments.
    • Read old tax letters closely. Record the taxpayer, issue, facts and period covered. Note any expiry date or review point. One letter does not clear the whole group.
    • Match payroll with actual work. Compare salary splits with calendars, travel records, expense claims and board minutes. Check whether the paying entity still matches the duties performed.
    • Review payments before processing. Check bonuses, share vesting, option exercises and termination payments before the payroll run. Confirm residence facts and cash available for tax.
    • Give the file an owner. Assign one person to the file. Review it when a home, role, contract, work pattern or family location changes.
