Dutch businesses that stop trading, transfer, or dissolve face separate deadlines for tax, staff, contracts, records, and registration. Current turboliquidation rules also require financial filings and written notice to creditors. Deregistration does not end every duty.
Why this matters
A closing date does not settle every invoice, tax return, wage balance, or contract. Payment trouble can trigger an earlier deadline to report inability to pay certain taxes. Exit routes also differ. A sale, liquidation, turboliquidation, and bankruptcy follow separate rules. Turboliquidation is for a legal entity without assets. Cash, stock, deposits, and receivables are assets.
Example
A BV stops trading and cancels its accounting software. An unpaid customer invoice, stock in storage, a supplier dispute, and a VAT return remain open. Those invoices and stock mean the BV still has assets. Keep a clear file on the supplier dispute. The VAT return remains due after deregistration. Cancelling the software can remove access to invoices, bank evidence, and tax exports.
XTROVERSO tips
- Choose the correct exit route. Decide whether the business is stopping, being sold, liquidated, or entering insolvency. Each route has its own steps. Do not treat them all as a simple closure.
- List assets and debts. Record cash, invoices, stock, deposits, loans, tax, payroll, customer advances, guarantees, and disputes. Assign an owner and due date to every item.
- Check payment deadlines. Review unpaid VAT, payroll taxes, and other covered amounts. Reporting inability to pay is separate from asking for a payment deferral.
- Secure business records. Export the ledger, invoices, bank records, payroll files, contracts, tax correspondence, and key email. Confirm access before cancelling software or ending work with an adviser.
- Keep KVK and tax work separate. Deregistration and final tax work are separate tasks. Continue filing returns until the tax authorities confirm which return is the final one.
- Prepare staff and sale files. Check contracts, salary, leave, sickness, pensions, and planned transfers or dismissals. For a sale, gather the records a buyer will review.
