  • Share-Funded Mergers Preserve Cash but Carry Tax Risk

    Paying with shares can preserve company cash, but the tax claim, control rights and historic obligations may continue after the merger.

    Dutch tax rules can defer tax in qualifying share-funded mergers. Cash can remain in the business, while the tax claim moves into the new shareholding. The valuation file, voting rights and chosen merger route determine whether the deferral applies.

    Why this matters

    A share payment can protect cash needed for payroll, suppliers and investment. It also shifts the financial pressure. The seller receives shares whose value depends on future results. Historic tax claims, debts and legal obligations may continue after completion. If the rollover fails, a founder can face a tax bill without enough personal cash to pay it.

    Example

    Two companies are valued at €500,000 and €250,000. That suggests a two-thirds and one-third economic split. The final deal can still produce a different result. Voting rights, dividend preferences, debt and share restrictions affect the real position. The seller keeps the sale proceeds invested in the combined company. A lost customer or new funding round can reduce the value of those shares.

    • Choose the route before drafting the deal. A share merger, business merger and legal merger transfer different things. Identify whether shares, operating assets or the full legal entity will move.
    • Link the exchange ratio to the accounts. Check revenue, overdue invoices, tax positions, director loans, debt and planned investment. The file should support the value stated in the term sheet.
    • Map the voting rights. Record who can vote after completion. Review each share class, shareholder agreement and STAK arrangement. Economic ownership may differ from legal control.
    • Calculate the founder’s cash position. Estimate the tax outcome before signing. Deferred tax remains attached to the replacement shares. A taxable disposal can create a personal cash shortage.
    • Check what travels with the business. List contracts, staff, records, debts, tax attributes and creditor claims. A legal merger can transfer the full estate by universal succession.
    • Keep the business reason in the file. Document why the merger helps operations, customers, staff or planning. Later restructuring or a sale can affect how the original transaction is assessed.
