Controlled access now governs the Dutch UBO register. Public bodies and regulated institutions can inspect ownership data for defined legal tasks. Current records therefore matter when a business seeks finance, a permit, a notarial act or another formal approval.
Why this matters
Restricted public access did not end the duty to register and update UBO information. Many Dutch companies, foundations, associations, cooperatives and partnerships remain in scope. Removing a former UBO generally requires reporting within seven days. Banks and notaries may compare register details with shareholder records and client files. A mismatch can delay finance or a transaction. In January 2026, a court upheld a €2,575 fine for missing UBO information at an inactive entity.
Example
A company agrees new financing and schedules a notarial signing. Its shareholder register shows an earlier family transfer, but the bank holds older ownership details. A later voting agreement is missing from the UBO file. The signing pauses while the company gathers board decisions, transfer records and identification documents. The register entry is not the largest cost. Delayed cash and extra adviser time are.
XTROVERSO tips
- Check every connected entity. Review each Dutch company, holding, foundation, association, cooperative or partnership. Include entities with no invoices, payroll or active customers.
- Compare the records. Put the UBO registration beside the shareholder register, articles, partnership terms, board decisions and financing contracts. Check whether ownership and control match across those records.
- Review recent changes. Check signed share transfers, succession documents, voting agreements, loan terms and changes in a parent holding. Each may affect the UBO position.
- Build one ownership file. Keep the current extract with the supporting records. Name one person to update the file when ownership or control changes.
- Check before a transaction. Review the file before seeking finance, opening an account, visiting a notary, or applying for a permit or subsidy. Discuss unclear points with a qualified adviser.
